Terms of Service

The agreement

Sekreton is operated by Shan Ming Yang Limited, a company registered in New Zealand. By signing in and using Sekreton you agree to these terms. If you are agreeing on behalf of a company, you confirm you are allowed to bind it. If you do not agree, do not use the service.

Your account

You sign in with Google, and you are responsible for the security of that Google account and for everything done under your sign-in. Your org's administrators decide who else can join it and what they can see. Tell us at hello@sekreton.com if you think someone has your access.

Subscription and billing

  • One flat monthly plan per org, billed in advance through Stripe. Stripe's terms cover the payment itself.
  • Prices exclude tax. GST or VAT is added at checkout where we are required to collect it; enter your business tax id there to have it applied correctly.
  • The plan includes a monthly allowance of agent-minutes. An agent-minute is a minute an agent spends working in its sandbox.
  • The allowance is a hard cap, not a threshold: when your org has used it, new agent runs pause until the billing period renews. We do not charge overage.
  • You can cancel at any time from the billing portal. Access continues to the end of the period you have paid for, and we do not give refunds for a part-used period.
  • We may change the price. If we do, we will give you at least 30 days' notice before it applies to your org.

Your providers

Sekreton runs on credentials you bring: your own model-provider key and your own access to GitHub or GitLab. You are responsible for holding those accounts in good standing, for keeping within their terms, and for whatever those providers charge you. Their usage is billed by them, not by us, and it is not part of your Sekreton subscription. If a provider changes, restricts or withdraws its service, that is outside our control.

Your content

Your code, briefs, plans and everything else you put into Sekreton stays yours. You grant us only the licence we need to run the service for you — to store your content, show it back to you and your teammates, and pass the necessary parts of it to the suppliers named in our privacy policy. That licence ends when the content is deleted. You confirm you have the right to give us the repositories and content you connect.

Agent output

Plans, code and commit messages written by an agent are provided as is. Agents make mistakes, and the product is built around that: every task stops for you to approve the plan and again for you to approve the diff. What you merge is your decision and your responsibility — review it, test it, and keep your own gates in front of it. We do not warrant that agent output is correct, secure, original or fit for any particular purpose.

Acceptable use

You agree not to:

  • use Sekreton for anything unlawful, or to build or host unlawful content;
  • use task sandboxes for cryptocurrency mining, attacks on other systems, spam, or any workload unrelated to your own software projects;
  • attempt to break out of a sandbox, reach another org's data, or otherwise probe the service without our written permission;
  • scrape, crawl or resell the service, or reverse engineer it except to the extent the law says you may;
  • connect a repository you do not have the right to connect.

We may suspend or close an account that breaches this section.

Availability

We do not promise any particular uptime. The service depends on suppliers we do not control, and we may change, add or remove features as the product develops. We will try to give notice of changes that materially reduce what you get, but we may have to act without it.

Liability

To the extent the law allows, the service is provided as is, without warranties of any kind. We are not liable for indirect or consequential loss, lost profits, lost data or lost business. Our total liability to you for any claim is capped at the fees your org paid us in the 12 months before the claim arose.

Nothing in these terms limits rights you have under New Zealand consumer law that cannot be excluded. Where you use Sekreton for business purposes, the Consumer Guarantees Act 1993 does not apply.

Any claim under these terms must be brought within one year of the events it relates to.

Termination

You can stop using Sekreton and cancel your subscription at any time. We may suspend or terminate an account that breaches these terms, or close the service with reasonable notice. On termination, your right to use the service ends; write to us if you want your data deleted sooner than our retention periods provide.

Governing law

These terms are governed by New Zealand law, and the courts of New Zealand have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We will update this page as the product changes, and the date at the top is how you tell. Continuing to use Sekreton after a change means you accept the current version.

Severability and entire agreement

If any part of these terms is found unenforceable, the rest stays in force. Together with the privacy policy, these terms are the whole agreement between you and us about Sekreton, and replace anything said or written before.
